Corporate Lawyer

Job Responsibilities

  • Advise clients on a broad range of corporate and commercial legal matters.
  • Assist in mergers and acquisitions, corporate restructurings, share and asset acquisitions, disposals, and other corporate transactions.
  • Conduct legal due diligence and assist in preparing transaction reports.
  • Draft, review and negotiate a wide range of commercial agreements, including Share Sale Agreements (SSA), Shareholders’ Agreements (SHA), Joint Venture Agreements (JVA), Subscription Agreements, Service Agreements, Supply and Procurement Agreements, Confidentiality Agreements (NDAs), and other commercial contracts.
  • Prepare and review corporate documentation relating to incorporations, corporate exercises and governance matters.
  • Advise clients on regulatory and compliance issues arising from corporate transactions.
  • Liaise with clients, counterparties, regulators and external advisers to facilitate transactions from commencement to completion.
  • Conduct legal research and provide commercially practical legal advice.
  • Manage assigned matters independently while working closely with partners and senior lawyers.

Key Requirements

  • Qualified Advocate & Solicitor of the High Court of Malaya.
  • 2–3 years’ post-qualification experience (PQE) in corporate and commercial practice.
  • Must have practical experience in both:
    • Mergers & Acquisitions (M&A); and
    • Commercial contract drafting, review and negotiation.
  • Experience handling legal due diligence and transactional documentation.
  • Strong drafting, analytical and negotiation skills.
  • Able to manage multiple transactions and meet tight deadlines.
  • Excellent communication and interpersonal skills.
  • Proactive, commercially minded and able to work both independently and collaboratively
