Overview
Our client, a fast-growing company, is looking for a commercially minded Legal Counsel / Senior Legal Executive to join its Legal & Corporate Affairs team. This is an exciting opportunity to be involved in corporate restructuring, commercial transactions, banking & finance, regulatory compliance, litigation management, and pre-IPO initiatives while working closely with senior management.
Responsibilities:
- Lead and support corporate restructuring exercises and pre-IPO legal readiness initiatives.
- Draft, review and negotiate a wide range of commercial agreements, including service agreements, technology/software licences, vendor contracts, tenancy-related agreements and strategic partnerships.
- Manage legal matters relating to banking facilities, corporate finance and fundraising transactions.
- Provide practical legal advice to management on business operations, commercial strategies and legal risks.
- Ensure compliance with applicable laws, licences, permits and regulatory requirements.
- Develop and implement legal policies, SOPs and compliance frameworks across the organisation.
- Manage disputes, litigation and debt recovery matters, and liaise with external legal counsel on legal proceedings.
- Work closely with internal stakeholders and external advisors, including auditors, corporate secretaries, financial institutions and regulatory authorities.
Requirements:
- Bachelor of Laws (LLB) and admitted as an Advocate & Solicitor of the High Court of Malaya (or equivalent).
- 3–5 years’ post-qualification experience (PQE) gained in a reputable law firm, in-house legal team, or a combination of both.
- Strong experience in Corporate & Commercial law, including drafting and negotiating commercial contracts.
- Exposure to banking & finance, corporate transactions, litigation, regulatory compliance or pre-IPO exercises will be an added advantage.
- Able to work independently, manage multiple matters and provide commercially practical legal advice.
- Strong communication and stakeholder management skills.
- Excellent command of English. Proficiency in Bahasa Malaysia and/or Mandarin is an added advantage.
