Partner – Projects Practice

The Role

Our client is seeking an experienced Partner to join and strengthen their team.

The successful candidate will have substantial experience advising on complex infrastructure, energy, construction and project development matters, including the commercial and financing aspects of major projects. The role will involve working closely with project sponsors, developers, financial institutions, investors and other stakeholders on significant transactions and projects.

This is an opportunity for an established practitioner with strong technical capabilities, commercial awareness and the ability to manage sophisticated matters independently.

Key Responsibilities

• Advise clients on the development, financing, construction, operation and implementation of major infrastructure and energy projects.
• Draft, review and negotiate a broad range of project and commercial agreements, including:
  • Power Purchase Agreements (PPAs);
  • Engineering, Procurement and Construction (EPC) contracts;
  • Operation and Maintenance (O&M) agreements;
  • concession and services agreements;
  • shareholders’ and joint venture agreements;
  • land-related and project development agreements; and
  • other commercial contracts relating to infrastructure and energy projects.
• Advise on renewable and conventional energy projects, including solar and other emerging energy-related developments.
• Advise clients on project financing and banking transactions, including conventional and Islamic financing structures.
• Handle financing documentation relating to large-scale infrastructure and development projects.
• Advise on relevant regulatory and compliance matters affecting the energy, infrastructure, utilities and construction sectors.
• Provide strategic legal advice throughout the lifecycle of a project, from initial development and tender stages through financing, construction and operations.
• Lead negotiations and coordinate with multiple stakeholders including clients, counterparties, financiers, consultants and regulators.
• Manage transactions and projects independently while supervising and mentoring junior lawyers.
• Maintain and develop strong client relationships and contribute to the continued growth and business development of the practice.

Requirements

• Qualified lawyer with approximately 10 years or more of post-qualification experience, although candidates with particularly relevant experience at a slightly different seniority level may also be considered.
• Strong background in one or more of the following areas:
  • Projects and infrastructure;
  • Energy and renewable energy;
  • Construction and engineering;
  • Project finance;
  • Banking and finance; or
  • Utilities and regulatory matters.
• Experience drafting and negotiating complex commercial and project documentation.
• Exposure to financing aspects of infrastructure or energy projects would be highly advantageous.
• Familiarity with both conventional and Islamic financing structures would be an advantage.
• Strong understanding of the commercial and regulatory considerations affecting major projects.
• Excellent drafting, negotiation and stakeholder-management skills.
• Commercially minded, solutions-oriented and capable of providing practical advice on complex transactions.
• Strong leadership and client-management capabilities.
• Ability to independently lead matters and supervise junior team members.
