Responsibilities
Contract Management
- Review and vet tin smelting contracts- including liaising with the commercial department on supplier arrangements, contract structure etc, to ensure legal and commercial terms align with company interests and preparing contracts for execution.
-Draft and/or vet NDAs, appointment letters, SPAs, formal letters, terminations, tenancy agreements and renewals, warning letters and other legal documents as required on an ongoing basis.
-Reviewing and advising on gas supply, labour, operational and service contracts, where legal input is required.
Litigation & Dispute Management
-Liaise with external counsel and monitor progress of legal proceedings, including civil and employment litigation.
-Compile relevant information, documentation, and evidence for any legal disputes or potential claims involving the company.
-Provide advice and recommendations on the best course of action in relation to legal disputes or claims, considering the legal position, commercial impact, and likely outcomes.
-Support management in decision-making by outlining available legal options, associated risks, and next steps based on input from external counsel and internal analysis.
-Facilitate and manage communication with external counsel, including providing background, updates, and requested documents in a timely manner.
-Act as the liaison between internal departments and legal counsel to ensure smooth handling of legal matters and effective case strategy.
-Attend hearings when required, take notes, and report updates internally.
Governance & Reporting
-Prepare and compile updates on ongoing legal cases for reporting to relevant internal and external stakeholders.
-This includes reporting to auditors, banks, for annual and quarterly financial reporting, Board meetings, EXCO, ensuring timely and accurate legal disclosures aligned with corporate governance and compliance requirements.
-Coordinate with external counsel to ensure consistency and completeness of information reported.
Compliance & Ethics
Oversee the company's Anti-Bribery & Corruption (ABC) compliance, including:
-Support compliance with internal SOPs, legal frameworks, and applicable statutory obligations.
-Conducting awareness briefings for staff to educate employees on ethical conduct and compliance and building a culture of integrity ;
-Managing gift declarations and maintaining a gift register/record (throughout the year, busier during festive seasons);
- Send timely reminders to department heads to circulate to their teams, ensuring that all gift declarations are submitted as required
Records & Documentation
-Maintain legal documentation and archives.
- Keep soft/hard copies of contracts and legal correspondence in a confidential and traceable manner.
-Recently added responsibility for maintaining and updating a shared contract listing for operational contracts in collaboration with Procurement to facilitate record keeping and monitoring.
Legal Fees Administration
-Manage the processing of legal fee invoices, including verifying billing details, obtaining internal approvals, and coordinating with the accounts/finance dept for payment.
-Ensure timely follow-up on approvals to avoid delays in payment to external counsel.
Advisory & Ad-Hoc Matters
-Provide legal opinions or ad-hoc advisory across all departments as and when required.
-Assist in responding to queries from auditors or regulators related to the legal dept.
- Assisted in Domestic Inquiries (DI), taking down minutes and drafting DI reports.
- Conduct legal research on laws and regulations to support company's practices and preparing written summary of findings to management.
Requirements
Key Requirements:
-A law degree with admission to the Malaysian Bar (or equivalent).
- Minimum 7 years of total legal experience, with a strong foundation in corporate/commercial matters.
- Prior exposure in both law firm practice and in-house counsel roles preferred.
- Strong analytical, communication, and stakeholder management skills.
- Ability to work independently and provide practical, business-oriented legal solutions.
