Key Responsibilities :

1. Commercial Contract Management:
-Lead the drafting, review and negotiation of complex commercial contracts, including: EPCC / construction contracts, procurement and supply agreements, services agreements, variation orders (VOs), supplemental agreements and amendments and inter-company agreements.
-Ensure contracts accurately reflect agreed commercial positions and protect the Group's legal and financial interests.

2. Project & Operational Support:
-Provide legal and contractual support to SBUs and project teams throughout the contract lifecycle, including pre-award structuring and risk allocation; contract execution and variations; and post-award contractual interpretation and dispute avoidance.
-Advise on contract administration issues, claims, extensions of time, LAD exposure and termination rights.

3. Governance, DAL & Approval Framework
-Ensure all commercial contracts and variations comply with Group Delegated Authority Levels (DAL); procurement and approval policies and Board / Management approval requirements.
-Advise Management on the appropriate approval route (PR, Management approval, Board Paper) for unbudgeted or high-value contracts.

4. Risk Identification & Mitigation
-Identify legal, contractual and commercial risks and propose practical mitigation strategies.
-Escalate material risks to the Head of Group Legal and relevant governance forums where appropriate.
-Support dispute prevention through clear drafting and early legal intervention.

5. External Stakeholder & Counterparty Management
-Lead contractual negotiations with external counterparties, consultants, contractors and suppliers.
- Work closely with external legal advisers on complex or high-risk commercial matters, ensuring cost efficiency and alignment with Group positions.

6. Standardisation & Legal Frameworks
-Develop, maintain and continuously improve Group-wide contract templates, playbooks and standard clauses.
-Drive consistency in contract structures and risk positions across SBUs.

7. Cross-Functional Collaboration
-Work closely with Group Procurement, Finance, Treasury, Project, Risk and Compliance teams to ensure integrated decision-making.
-Provide clear legal guidance to non-legal stakeholders in a commercially practical manner.

8. Team Leadership & Capability Building
-Mentor and guide Legal Managers / Legal Counsels in commercial contract matters.
-Support capability building and knowledge transfer within Group Legal and SBUs.
Key Requirements

1. Bachelor of Laws (LLB) or equivalent
2. Called to the Bar / admitted as an Advocate & Solicitor (preferred)
3. 10-12 years� experience in commercial contracts, construction/projects or in-house legal roles.
4. Experience in public-listed or group-structured organisations is an advantage
5. Strong expertise in commercial, construction and project contracts.
6. Excellent negotiation and stakeholder management skills.
7. Strong understanding of DAL, governance and approval frameworks
8. Commercially pragmatic with strong risk judgment.
9. Clear communicator, able to advise senior management and project teams.
10. High attention to detail with the ability to manage multiple high-value matters concurrently.
